Frasers Group may not have (yet) achieved the full ownership of Hugo boss that it wanted, but the company now holds more than 50% of the shares and it means the German company will become a subsidiary of the group.
The British business announced late on Friday that it has passed the 50% ownership threshold having acquired a further 198,666 shares for a consideration of €7.63 million. It therefore now holds 50.08% of Hugo Boss’s total share capital and has interests in up to 21.87% via sold put options.
The consideration for the 50% threshold transaction has been funded by Frasers’ existing cash resources.
Following the transaction, “the earnings, assets and liabilities of Hugo Boss are expected to be consolidated into the earnings, assets and liabilities of Frasers”.
That adds hugely to Frasers overall size. The gross assets of Hugo Boss as at 30 June 2026 amounted to €3.532 billion, with net assets of €1.634 billion at the same date.
As an illustration, the unaudited pro forma EBITDA for the combined businesses of Frasers and Hugo Boss for the 52-week period ended 26 April 2026 would have been just over €1.874 billion (almost £1.599 billion).
Frasers Group’s previous takeover offer for the fashion giant fell short of a majority, but it got where it wanted to be in the end. And with Frasers having also bought Harvey Nichols earlier this year, it has clearly transformed itself into a luxury powerhouse in the space of just a few months.
